[미국] 유나이티드 렌털, 배이커콥 7억1500만 달러 인수 계약

유나이티드 렌털(United Rentals Inc) 약 7억1,500만 달러에 배이커콥 인터네셔날 홀딩스(BakerCorp International Holdings Inc)를 인수하기로 최종 계약을 맺었다.

배이커콥(BakerCorp)은 다양한 산업 및 건설 분야의 탱크, 펌프, 여과 및 트렌치 쇼링(trench shoring) 임대 솔루션의 다국적 공급 업체이다. BakerCorp 임대 차량은 강철 탱크, 폴리에틸렌 탱크, 롤오프 박스, 펌프, 파이프, 호스 및 부속품, 여과장치, 탱크 트레일러, 덤프 및 트렌치 쇼링 장비를 포함하여 2만4,000개 이상의 장치로 구성된다.

이 회사는 950명의 직원이 북미와 유럽에서 4,800명 이상의 고객에게 서비스를 제공하고 있다. BakerCorp의 사업은 주로 미국과 캐나다에 있으며, 46개 지점이 있으며 프랑스, 독일, 영국 및 네덜란드 등에 11곳이 있다.

지난 5월 31일 끝난 12개월 동안 BakerCorp는 총 매출은 2억9,500만 달러와 조정 EBITDA(세전·이자 지급 전 이익) 7,900만 달러를 기록했다. BakerCorp의 국제사업은 2018년 1월 31일 종료된 회계연도의 총 수익의 약 15 %를 차지했다.

이번 거래는 2018년 3분기에 마무리될 것으로 예상된다. 미국 코네티컷(Connecticut)주 스탬포드(Stamford)에 본사를 두고 있는 유나이티드 렌털(United Rentals)은 49개 주 및 캐나다 모든 주에 1,002개의 렌탈시설 네트워크를 보유하고 있다.

United Rentals to acquire BakerCorp for US$715mn

United Rentals Inc has entered into a definitive agreement to acquire BakerCorp International Holdings Inc for approximately US$715 million in cash.

BakerCorp is a multinational provider of tank, pump, filtration and trench shoring rental solutions for a range of industrial and construction applications. The BakerCorp rental fleet consists of more than 24,000 units, including steel tanks, polyethylene tanks, roll-off boxes, pumps, pipes, hoses and fittings, filtration units, tank trailers, berms and trench shoring equipment.

The company has around 950 employees serving more than 4800 customers in North America and Europe. BakerCorp’s operations are primarily in the US and Canada, where it has 46 locations, with another 11 in France, Germany, the UK and the Netherlands.

For the trailing 12 months ended 31 May 2018, BakerCorp had total revenue of US$295 million and adjusted EBITDA of US$79 million. BakerCorp’s international operations accounted for approximately 15% of total revenue for the company’s fiscal year ended 31 January 2018.

Together, BakerCorp and United Rentals’ Pump Solutions unit will have revenue of approximately US$606 million (pro forma trailing 12 months).

The transaction is expected to close in the third quarter of 2018.

Stamford, Connecticut-headquartered United Rentals has a network of 1002 rental locations in 49 US states and every Canadian province.
