[미국] 미계약 해상풍력 해저와 북동부 주요 운영자산 에버소스 지분 인수

최대 4GW 용량 해저 완전 소유, 전략적 O&M 계약

이번 인수 통해 오스테드 북동부 해상풍력 에너지 입지 더욱 강화

미국 해상풍력에너지 선두업체 오스테드(Ørsted)는 현재 두 회사가 공동으로 소유하고 있는 미계약 연방 해상풍력임대지역에 대한 에버소스에너지(Ever Source Energy)의 지분 50%를 인수하는 계약을 체결했다고 발표했다. 이번 협약에는 초기 개발 단계인 해저 외에도 동북지역 핵심 작전자산에 대한 계약과 파트너십도 포함돼 있다.

6억 2천500만 달러 규모의 이번 계약은 오스테드의 해상 풍력 에너지 분야 선도적 입지를 더욱 강화하고, 미국 전역에 일자리를 창출하고 세계 시장의 혁신을 주도하는 공급망을 포함한 미국의 해상 풍력 산업 구축에 대한 회사의 의지를 보여준다.

리스 지역 OCS-A 500(리스 500)으로 식별되는 리스 지역은 미국 해상 풍력 에너지를 위한 약 18만7천 에이커의 미계약 해저를 포함하고 있으며 최대 4기가와트의 잠재 용량을 가지고 있다. 이 계약의 일부로 외르스테드는 전략적 항구 시설 및 기타 자산에 대한 계약 및 임대를 취득할 것이다. 오스테드는 로드아일랜드에 있는 프로비던스 항, 데이비스빌 항, 퀘셋 포인트 항 및 코네티컷의 뉴런던 스테이트 부두와의 파트너십의 모든 소유권을 가질 전망이다. 오스테드는 또한 뉴욕주 이스트 세토켓의 운영 및 유지관리 허브와 루이지애나주 휴마에 있는 에디슨 추스트의 시설에서 건조 중이며 50% 이상 완성된 최초의 미국 건조 해상 풍력 서비스 운영 선박에 대한 전세 계약을 완전히 소유하게 된다.

리스 500은 외르스테드의 미국 해상 풍력 포트폴리오에 전략적인 역할을 한다. 건설 및 운영 효율성을 창출하는 기존의 오스테드 프로젝트와 근접할 뿐만 아니라, 미국 및 전 세계의 다른 사이트에 비해 얕은 수심과 유리한 풍속을 제공한다. 뉴잉글랜드 남부 해안에서 약 25마일 떨어진 곳에 위치한 이 사이트는 매사추세츠, 로드 아일랜드, 코네티컷, 뉴욕을 포함한 네 개의 시장에도 서비스를 제공할 수 있다.

조 놀런(Joe Nolan) 에버소스의 사장, 최고경영자(CEO) 회장은 "우리는 6년 이상 외르스테드와 함께 일하는 기쁨을 누렸으며 해상 풍력 부문에서 그들의 전문 지식과 글로벌 리더십을 직접 경험했다. 현재 개발 중인 세 곳을 포함해 파트너십 임대 지역에 구축된 해상풍력 프로젝트가 남부 뉴잉글랜드와 뉴욕의 세대 혼합을 탈탄소화하는 데 중요한 역할을 할 것으로 지속적으로 기대하고 있다"고 말했다.

에버소스는 지난해 해상 풍력 에너지 포트폴리오를 검토하고 관련 자산 매각 여부를 검토 중이라고 발표했다. 외르스테드와 계약되지 않은 해저 및 기타 지분을 매각하기로 합의한 것 외에도 에버소스는 3개의 공동 소유 해상 풍력 프로젝트(사우스포크 바람, 레볼루션 바람, 일출 바람)의 기존 50% 지분 매각을 추진하는 것이 회사의 장기적 이익에 가장 부합한다고 판단했다고 전했다. 

오스테드와의 계약의 일부로 에버소스는 사우스포크 윈드 프로젝트에 세금 형평성을 제공할 것으로 보인다. 세금 형평성을 확보하는 것은 사우스포크윈드가 올해 말 가동을 시작하고 재생에너지를 공급한다는 계획을 앞두고 결정적인 이정표다. 한편 에버소스는 건설을 통해 세 가지 프로젝트 모두의 육상 범위를 지속적으로 지원하여 포트폴리오의 장기적인 지속성과 성공을 보장할 예정이다.

이 협약은 관례적인 폐쇄 조건과 규제 검토를 거쳐야 하며 2023년 3분기에 종료될 것으로 예상된다.

Ørsted to Acquire Eversource Share of Uncontracted Offshore Wind Seabed and Key Northeast Operational Assets

Ørsted to fully own seabed with up to 4 GW of capacity and fully own strategic O&M contracts; Acquisition further strengthens Ørsted’s offshore wind energy position in the Northeast

 

Ørsted, the U.S. leader in offshore wind energy, announced it has signed an agreement to acquire Eversource Energy’s 50 percent interest in the uncontracted federal offshore wind lease area currently owned jointly by the two companies. In addition to the seabed, which is in early-stage development, the agreement also includes contracts and partnerships for key operational assets in the Northeast.

The $625 million agreement further strengthens Ørsted’s leading position in offshore wind energy and demonstrates the company’s commitment to building an American offshore wind industry, including a supply chain that creates jobs across the United States and drives innovation for the global market.

The lease area, identified as Lease Area OCS-A 500 (Lease 500), contains approximately 187,000 uncontracted acres of seabed for American offshore wind energy and has a potential capacity of up to 4 gigawatts. As part of this agreement, Ørsted will acquire contracts and leases for strategic port facilities and other assets. Ørsted will take full ownership of partnerships with the Port of Providence, the Port of Davisville, and Quonset Point, all in Rhode Island, and with Connecticut's New London State Pier. Ørsted will also take full ownership of the operations and maintenance hub in East Setauket, N.Y., and the charter agreement for the first American-built offshore wind service operations vessel, which is under construction at Edison Chouest’s facility in Houma, Louisiana, and is more than 50 percent complete.

In addition to taking full ownership of seabed that is familiar to our team after years of work in this area, we will also be the sole bidder in our New York 3 and Rhode Island 2 active offshore wind solicitations. The combination of the seabed and additional components in this agreement further establish a major hub in the Northeast for our activities and future opportunities.”

Lease 500 is strategic to Ørsted’s U.S. offshore wind portfolio. In addition to its proximity to existing Ørsted projects, which creates construction and operational efficiencies, the site also offers shallow water depth and favorable wind speeds compared to other sites in the U.S. and globally. Located approximately 25 miles off the coast of Southern New England, the site can also serve four markets, including Massachusetts, Rhode Island, Connecticut and New York.

“We have had the pleasure of working alongside Ørsted for more than six years and have experienced firsthand their expertise and global leadership in the offshore wind sector. We continue to expect that offshore wind projects built in our partnership’s lease area, including the three now under development, will play a critical role in decarbonizing the generation mix of Southern New England and New York,” said Joe Nolan, Eversource’s president, chief executive officer, and chairman.

Eversource announced last year it was reviewing its offshore wind energy portfolio and considering whether to sell related assets. In addition to the agreement with Ørsted to sell its uncontracted seabed and other interests, Eversource determined that it is in the best long-term interest of the company to pursue the sale of its existing 50 percent interest in its three jointly owned contracted offshore wind projects (South Fork Wind, Revolution Wind and Sunrise Wind).

As part of the agreement with Ørsted, Eversource will provide tax equity for the South Fork Wind project. Securing the tax equity arrangement is a critical milestone for South Fork Wind ahead of its plan to begin operations and delivering renewable energy later this year. Eversource will continue to support onshore scopes of all three projects through construction, ensuring the long-term continuity and success of the portfolio.

The agreement is subject to customary closing conditions and regulatory review and is expected to close in the third quarter of 2023.
