[영국] 시장경쟁청, “영국서 베올리아-수에즈 합병 해제” 요구

베올리아-수에즈, 합병 전 영국서 가장 큰 물관리·폐기물 관리 서비스 공급업체

CMA, 영국서 산업용수 유지관리·폐기물 관리 서비스 및 유럽 이동식 수도서비스 사업 등 3개 분야 매각 요구

영국 경쟁시장청(CMA ; Competition and Markets Authority)는 베올리아(Veolia)-수에즈(Suez)의 합병 관련 조사를 한 결과, 합병이 여러 시장에서 경쟁 우려를 야기한다는 결론을 내린 후, 베올리아가 영국에서 베올리아-수에즈 물사업 등 3개 사업체를 매각할 것을 요구했다고 8월 25일 밝혔다.

CMA는 베이올라가 합병한 사업 증 △수에즈의 영국 폐기물 관리 서비스 사업 △수에즈의 영국 산업용수 운영 및 유지관 서비스 사업 △베올리아의 유럽 이동식 수도 서비스 사업 등 상당 부분을 매각해야 한다고 결론지었다.

이러한 사업들은 영국에서 베이올라와 수에즈의 경쟁 사업간의 대부분이 중복된다. 베올리아는 CMA의 2단계 조사의 잠정적 결과에 대해 영국에서 수에즈 폐기물 사업을 매각할 것이라고 말했다. CMA는 2개의 물 서비스 사업체의 판매뿐만 아니라 판매 조건을 결정할 예정이다.

CMA는 각 판매가 완료되기 전에 각 사업체의 구매자를 승인해야 해야 한다.

베올리아와 수에즈는 모두 폐기물 및 물관리 분야의 글로벌 기업이다. 2020년 양사는 영국에서 각각 약 20억 파운드와 10억 파운드의 매출을 올렸다. 이는 연간 글로벌 매출의 약 10%와 7%에 해당한다.

베이올라와 수에즈는 전체 폐기물 관리 공급망에서 활동하고 있다. 양사는 가정과 기업으로부터 폐기물을 수집하여 재활용 및 퇴비화를 위해 분류하고 남은 폐기물을 처리한다. 이 중 일부는 소각되어 전기를 생산한다.

영국의 많은 지방 당국은 폐기물 관리 요구를 충족시키기 위해 베이올라 또는 수에즈에 크게 의존하고 있다. 양사는 또한 산업 고객들에게 물과 하·폐수관리 서비스를 제공한다. 

조사를 통해 CMA는 받는 서비스의 비용과 품질에 대한 합병의 잠재적 영향에 대해 우려하는 여러 협의회 및 고객의 의견을 들었으며, 궁극적으로 납세자와 기업은 비용 증가를 부담해야 했다.

CMA 조사그룹의 의장인 스튜어트 매킨토시(Stuart McIntosh)는 “지방 정부 예산은 이미 부담스러운 상태이고, 이 거래는 그들이 더 많은 돈을 지불하고 더 낮은 품질의 서비스를 받는 것으로 이어질 가능성이 높다”라면서 “납세자들이 생계비 위기의 압박을 느끼고 있는 상황에서 부정적인 영향은 궁극적으로 납세자들에게로 떨어졌을 것”이라고 말했다.

매킨토시 의장은 이어 “합병에 대한 우리의 우려를 고려할 때, 우리는 베이올라가 수에즈를 인수했을 때 영국에서 인수한 대부분의 사업장을 매각해야 한다고 결론지었다”라면서 “우리는 이제 베이올라와 협력하여 기업, 의회, 그리고 궁극적으로는 납세자가 손해를 보지 않도록 적절한 구매자를 찾을 것”이라고 덧붙였다.

8월 25일 발표된 CMA의 최종 보고서는 5월에 발표된 잠정적인 결과를 확인한 것이다. 이번 베이올라와 수에즈의 합병으로 영국에서 5개 폐기물 시장과 2개 정수처리 시장이 경쟁우려로 이어질 것이라는 판단에서다.

이러한 각 시장에서, 합병하는 사업들은 현재 밀접하게 경쟁하고 있으며, 합병 후 제한된 경쟁에 직면할 것으로 예상된다. CMA는 이것이 영국 전역의 기업뿐만 아니라 납세자들에게도 연쇄적인 효과와 함께 의회에 더 높은 비용 또는 더 낮은 품질의 서비스를 제공할 가능성이 있다는 것을 발견했다.

CMA는 지난 2021년 10월부터 베올리아와 수에즈 간의 거래에 대한 조사를 해왔다. 거래는 2021년 12월 독립 조사 그룹이 주도하는 심층적인 2단계 검토를 위해 회부되었다.

CMA unwinds Veolia / Suez merger in the UK

 

Prior to the merger, Veolia and Suez were 2 of the largest suppliers of waste management services in the UK.

The CMA has today required Veolia to sell 3 businesses after an in-depth merger investigation concluded the merger gives rise to competition concerns in a number of markets.

The Competition and Markets Authority (CMA) has concluded that Veolia must sell substantial parts of the merged business:

Suez’s UK waste management services businesses;

Suez’s UK industrial water operation and maintenance services business; and

Veolia’s European mobile water services business.

These businesses make up almost all of the overlap between Veolia’s and Suez’s competing operations in the UK.

In response to the provisional findings of the Phase 2 inquiry, Veolia said that it would sell the UK Suez waste business. The CMA will determine the conditions of the sale, as well as the sales of the 2 water services businesses.

The CMA will need to approve the purchasers of each business before the completion of each sale.

Veolia and Suez are both global players in waste and water management. In 2020, the companies generated approximately ￡2bn and ￡1bn in the UK respectively ? roughly 10% and 7% of their annual global revenues.

Veolia and Suez are active across the full waste management supply chain. They collect waste from households and businesses, sort it for recycling and composting and dispose of the remaining waste - some of which is incinerated to produce electricity. 

Many local authorities in the UK rely heavily on either Veolia or Suez to meet their waste management needs. The companies also supply water and wastewater management services to industrial customers.

Throughout the investigation, the CMA heard from a number of councils and customers who were concerned about the potential impact of the merger on the cost and quality of the services they receive. Ultimately, taxpayers and businesses would have been left to cover any increase in cost.

Stuart McIntosh, Chair of the CMA inquiry group, said:

“Local authority budgets are already under strain, and this deal is likely to lead to them paying more and receiving a lower-quality service. The negative impact would have ultimately fallen on taxpayers at a time when they are feeling the pressure of the cost of living crisis.”

“Given our concerns about the merger, we have concluded that Veolia must sell most of the operations it took over in the UK when it acquired Suez.” 

“We will now work with Veolia to ensure that appropriate buyers are found so that businesses, councils - and ultimately taxpayers - will not lose out.”

The CMA’s final report, published today, confirms its provisional findings issued in May. It rules that the merger would lead to competition concerns in 5 waste markets and 2 water treatment markets. 

In each of these markets, the merging businesses currently compete closely and would face limited competition after the merger. The CMA found that this would be likely to result in higher cost or lower quality services for councils, with knock-on effects for taxpayers, as well as businesses across the UK.

The CMA launched an investigation into the deal between Veolia and Suez in October 2021. The transaction was referred for an in-depth Phase 2 review, which is led by an independent inquiry group, in December 2021.

This deal has been reviewed by a number of competition authorities across the world. Major divestments were also required in the EU and in Australia.
