4개 대륙 11개국에서 운영 중인 아랍에미리트(UAE)의 국제 에너지·물회사인 아부다비 국영 에너지 회사(TAQA)는 지속가능한 물 솔루션 홀딩 컴퍼니(SWS 홀딩)를 인수하기 위한 최종 계약을 체결했다고 6월 21일 밝혔다. 사진은 양사 로고.

아랍에미리트(UAE) 아부다비의 4개 대륙 11개국에서 운영 중인 국제 에너지·물회사인 아부다비 내셔널 에너지 회사(Abu Dhabi National Energy Company PJSC, 이하 ‘TAQA’)는 지속가능한 물 솔루션 홀딩 컴퍼니(Sustainable Water Solutions Holding Company ; SWS Holding, 이하 ‘SWS 홀딩’)를 인수하기 위한 최종 계약을 체결했다고 6월 21일 발표했다.

SWS 홀딩의 설립은 산업과 지역사회에 이익이 되는 자원 회수와 물 순환에 초점을 맞추어 지속가능한 물 솔루션을 제공한다는 목표로 지난 5월에 발표되었다.

새로 설립된 SWS 홀딩은 아부다비의 모든 하수 수집·처리·재사용을 지원하는 주요 기업인 아부다비 하수도 서비스 회사(Abu Dhabi Sewerage Services Company ; ADSSC)로 알려졌던 아부다비 지속가능 물 솔루션 회사(Abu Dhabi Sustainable Water Solutions Company ; ADSWS)의 소유권을 인수했다.

TAQA의 포괄적인 제품군(portfolio)에 SWS 홀딩의 전문 솔루션이 추가됨으로써 고품질 수처리 솔루션을 제공하는 강력한 역량과 운영 효율성 및 고객 서비스 우수성에 대한 공유된 헌신을 갖춘 수직적으로 통합된 회사가 탄생한다.

SWS 홀딩은 TAQA의 기존 포트폴리오와 매우 보완적이며 TAQA의 기존 규제 자산 가치 약 750억 AED(약 26조3천640억 원)에 약 160억 AED(5조6천243억)를 추가할 계획이다. 이를 통해 TAQA의 예측 가능하고 안전한 현금 흐름과 장기 수익이 향상된다.

이번 거래는 TAQA와 그 주주들에게 가치를 창출할 상당한 시너지 효과를 창출할 것으로 기대된다. ADSWS(아부다비 지속가능 물 솔루션 회사)는 TAQA의 기존 UAE 송전 및 배전 사업을 관장하는 아부다비 에너지부(DoE)가 설정한 것과 동일한 규제 통제 하에서 운영되고 혜택을 받는다.

ADSWS는 37개 처리장(완전 소유)에서 하루 약 130만㎥의 하수를 처리할 수 있는 용량과 1만2천km 이상의 하수관 네트워크를 보유하고 있으며, 건축·소유·운영·양도(Build, Own, Operate and Transfer ; BOOT) 모델에 따라 아부다비에 4개의 하수처리장을 소유한 두 회사의 60% 소유권을 통해 운영되고 있다.

계약 조건에 따라 TAQA는 17억 AED(약 6천억 원)에 대한 SWS 홀딩의 모든 미결제 주식을 취득하며, 50%의 대가는 완료 시 지불하고 나머지 50%는 완료 후 1년 후 지불하며, TAQA는 2023년 동안 발생하는 순이익과 연계하여 2024년에 추가로 지불할 예정이다.

이러한 전략적 거래는 TAQA의 재무 성과에 미치는 영향을 고려할 때 TAQA와 주주들에게 매우 긍정적인 결과를 제공하는 동시에 주주 자본을 효율적으로 사용하여 미래 성장에 자금을 조달할 수 있다.

TAQA 그룹의 자심 후세인 타베트(Jasim Husain Thabet) CEO 겸 전무이사는 “2년 전 우리는 2030 전략에서 성장 야망을 세웠고 그 이후로 우리는 약속을 이행해 왔다”라면서 “이 거래는 우리의 규제 자산 기반을 하수 네트워크 및 처리로 논리적으로 확장한 것”이라고 말했다. 

타베트 CEO는 이어 “아부다비에서는 기존 전력 및 수도 송배전 사업과 동일한 규제 구조와 원칙이 적용된다. 새로운 사업은 우리의 규제 자산 기반과 관련된 안정적인 장기 수익을 크게 향상시킬 것”이라고 덧붙였다.

타베트 CEO는 특히 “물의 효율적인 관리는 UAE가 온실가스 배출을 줄일 수 있도록 하는 데 핵심적인 역할을 할 것이다. 재활용 물관리와 TAQA의 담수화 활동 및 재활용 물 네트워크를 결합함으로써 2050년까지 탄소중립(net zero) 목표를 지원하기 위해 훨씬 더 많은 일을 할 수 있을 것”이라고 강조했다.

SWS 홀딩의 아메드 알 샴시(Ahmed Al Shamsi) 최고 경영자 겸 전무는 “지속가능성에 대한 열망이 큰 국가 챔피언으로서 TAQA의 일부가 될 가능성은 설득력이 있으며, 우리가 우리의 결합된 강점을 활용할 수 있게 해줄 것”이라면서 “SWS 홀딩은 고객과 지역사회에 이익이 될 뿐만 아니라 지구와 생태계를 보호할 수 있는 지속가능한 물 솔루션을 제공하기 위해 확고한 노력을 기울이고 있고, 우리는 TAQA와 함께 이 길을 계속 가기를 기대한다”고 말했다.

이 거래는 규제 및 관련 제3자 승인 획득을 포함하여 필요한 거래 요건을 성공적으로 시기 적절하게 완료하면 올해 완료될 것으로 예상된다. 

TAQA는 아부다비 파워 코퍼레이션(Abu Dhabi Power Corporation ; ADPower)이 90.03%, 멀티플리 그룹(Multiply Group)이 7.30%를 소유하고 있다.

TAQA Set to Expand Portfolio with Acquisition of SWS Holding

Abu Dhabi, UAE - 21 June 2023: Abu Dhabi National Energy Company PJSC (TAQA), an international energy and water company operating in 11 countries across four continents, announced today that it has entered into a definitive agreement to acquire Sustainable Water Solutions Holding Company (SWS Holding).

The establishment of SWS Holding was announced in May 2023 with an aim to deliver sustainable water solutions through a focus on resource recovery and water circularity that will benefit industries and communities. 

The newly created SWS Holding took ownership of Abu Dhabi Sustainable Water Solutions Company (ADSWS), formerly known as Abu Dhabi Sewerage Services Company (ADSSC), the main entity behind all wastewater collection, treatment, and reuse in the Emirate of Abu Dhabi.

The addition of SWS Holding’s specialized solutions to TAQA’s comprehensive portfolio will create a vertically integrated player with strong capabilities in delivering high-quality water treatment solutions as well as a shared commitment to operational efficiency and customer service excellence.

SWS Holding is highly complementary to TAQA’s existing portfolio and will add approximately AED 16 billion to TAQA’s existing regulated asset value of approximately AED 75 billion. This will enhance TAQA’s highly predictable and secure cashflow profile as well as its long-term earnings. 

The transaction is expected to generate significant synergies which will create value for TAQA and its shareholders. ADSWS will operate under and benefit from the same regulatory controls set by the Abu Dhabi Department of Energy (DoE) that govern TAQA’s existing UAE transmission and distribution businesses.

ADSWS has a network of sewer pipelines extending to over 12,000 km, a sewage treatment capacity of approximately 1.3 million cubic meters per day from its 37 wholly owned treatment plants, and through the 60% ownership in two companies owning four sewage treatment plants in Abu Dhabi under the ‘Build, Own, Operate and Transfer’ (BOOT) model.

Under the terms of the agreement, TAQA will acquire all outstanding shares of SWS Holding for AED 1.7bn, with 50% of the consideration to be paid upon completion and the remaining 50% to be paid one year after completion. TAQA will make an additional payment in 2024 linked to net profits generated during 2023. 

This strategic transaction, at such attractive terms, represents an extremely positive outcome for TAQA and its shareholders, given the impact it will create on TAQA’s financial performance whilst allowing efficient use of shareholders capital to fund future growth.

Jasim Husain Thabet, TAQA’s Group Chief Executive Officer and Managing Director, commented: “The strategic acquisition of SWS Holding is an important step in TAQA’s accelerated delivery of its growth agenda, backed by our shareholders. Two years ago, we set out our growth ambitions in a 2030 strategy, and since then we have been delivering against our promises. This transaction is a logical extension of our regulated asset base into wastewater networks and treatment, which in Abu Dhabi is subject to the same structure of regulation and the same principles as our existing power and water transmission and distribution business. The new business will provide a substantial boost to our regulated asset base and associated stable long-term earnings.”

“The efficient management of water will play a key role in enabling the UAE to reduce greenhouse gas emissions. By bringing the management of recycled water together with TAQA’s water desalination activity and our recycled water network, we can do even more to support the net zero target by 2050.”

Eng. The transaction is expected to complete this year, subject to a successful and timely completion of necessary transaction requirements, including obtaining regulatory and relevant third-party approvals. TAQA is owned 90.03% by Abu Dhabi Power Corporation (ADPower) and 7.30% by Multiply Group.
