[이스라엘] 에메프시 그룹,  RWL워터와 합병 예정

이스라엘 수처리 기업인 에메프시(Emefcy Group Ltd)은 미국 뉴욕에 있는 RWL Water와 합병에 서명하여 ‘Fluence Corporation Ltd.’라는 새로운 글로벌 워터 솔루션 회사를 설립할 예정이다.

이번 합병으로 Emefcy 주주는 Fluence사의 약 66%를 소유하게 되며, RWL  Water 설립자이자 소유주인 로널드 로더(Ronald S Lauder)가 나머지 34%를 보유하게 된다. Fluence는 호주 증권거래소에 상장될 예정이다.

이스라엘의 Emefcy는 MABR(Membrane Aerated Biofilm Reactor-based) 하·폐수 처리 솔루션을 제조하고 있다. 2010년에 설립된 뉴욕 소재의 RWL Water는 Nirosoft Industries Ltd, Aeromix Systems Inc, Eurotec WTT Srl, Unitek SA 및 Acquavit 등 글로벌 수처리 기업 인수를 통해 성장했다.

Emefcy와 RWL Water는 최근 중국의 수처리 시장에 진출하기 위해 전략적 제휴를 통해 사업을 진행중에 있다. Emefcy와 RWL Water는 2016년에 6,200만 달러의 매출을 올렸다.
 

뉴욕에 본사를 두고 있는 Fluence는 지자체, 기업체, 산업, 음료, 광산, 석유 분야 수처리, 폐수처리, 담수화, 폐기물처리를 비롯해 에너지 및 수자원 재사용 및 복구를 위한 제품과 서비스를 제공할 예정이다.

양사가 새로 설립한 ‘Fluence Corporation Ltd.’는 또한 Emescy와 RWL Water의 이스라엘 사업을 이스라엘  카이사레아(Caesarea)에 있는 주요 연구 및 생산 센터로 통합할 계획이다.

Emefcy to merge with RWL Water

Emefcy Group Ltd has signed a non-binding Letter of Intent to merge with RWL Water in an all-stock transaction, forming a new global water solutions company called Fluence Corporation Ltd.

If the deal goes ahead, Emefcy shareholders will own approximately 66% of Fluence, while RWL founder and owner Ronald S Lauder will hold the remaining 34%. Fluence will continue to be listed on the Australia Stock Exchange.

Israel’s Emefcy manufactures energy-efficient Membrane Aerated Biofilm Reactor-based (MABR) wastewater treatment solutions. New York-based RWL Water, which was founded in 2010, has grown through a series of acquisitions including Nirosoft Industries Ltd, Aeromix Systems Inc, Eurotec WTT Srl, Unitek SA and Acquavit. Emefcy and RWL Water have been working together recently in a strategic alliance to penetrate the Chinese water treatment market.
 

Emefcy and RWL Water had combined revenues of US$62 million in 2016.
 

Fluence, which is expected to be headquartered in New York, will provide products and services for water treatment, wastewater treatment, desalination, waste-to-energy and water reuse and recovery in key growth markets including municipal, commercial, industrial, mining, oil & gas, power, food and beverage. The new company is also planning to merge Emefcy’s and RWL Water’s Israeli businesses into its principal research and production centre in Caesarea, Israel.
 

Richard Irving, executive chairman of Emefcy, said: “Emefcy has developed breakthrough technology to substantially reduce the cost of wastewater treatment, but has not yet fully developed its distribution and turnkey plant implementation capability. RWL Water has grown rapidly into a world leader in the deployment of water treatment solutions, but now has a new injection of proprietary technologies. This merger is intended to bring together the strengths of both companies, creating impressive synergies that promise to accelerate the already-rapid growth of each company.”
 

“We believe that should we complete this merger, Fluence would be well positioned as a global leader in the vast market for distributed and packaged total water treatment solutions. Capabilities of the merged group would cover the full water cycle, from desalination to wastewater treatment to wastewater-to-energy and reuse,” said Henry Charrabe, CEO of RWL Water.
 

When the deal closes, Henry Charrabe, president and CEO of RWL Water, and Philippe Laval, chief operating officer of RWL Water, will become CEO and COO of Fluence, respectively. Eytan Levy, co-founder and CEO of Emefcy, and Ronen Schechter, co-founder of Emefcy, will be appointed president - Products & Innovation and chief technology officer of Fluence, respectively. Bob Wowk, currently CFO of RWL Water, will become CFO of Fluence, while Emefcy’s Ross Kennedy will continue as company secretary.
