[벨기에] EU집행위원회, 베올리아의 수에즈 인수 승인

12월 14일 합병 승인…수에즈, 전세계서 70억 유로 수익 예상

벨기에 브뤼셀에 본부를 두고 있는 유럽연합 집행위원회(The European Commission)가 베올리아(Veolia)의 수에즈(Suez) 인수를 12월 14일 승인했다. 베올리아(Veolia)는 수에즈(Suez) 인수를 승인하기로 한 유럽연합 집행위원회의 결정을 환영한다고 했다. 

유럽연합 집행위원회의 승인은 베올리아 산업 프로젝트 실현의 핵심 요소이기 때문에 생태학적 변화의 글로벌 챔피언을 만드는 데 있어 결정적인 단계이다. 이에 따라 베올리아는 유럽연합 집행위원회와 긴밀히 협력하여 모든 경쟁 문제를 해결했다.

새로운 수에즈를 만들기 위해 베올리아와 컨소시엄간에 도달한 상업적 합의는 유럽연합 집행위원회에서 식별한 대부분의 경쟁 문제를 제거하는 자산을 확인했다.

메리디암(Meridiam), GIP 및 라 카이세 데 디포(La Caisse des Depots) / CNP 어슈랜세스( CNP Assurances)로 구성된 투자자 컨소시엄과 체결된 이 상업적 계약은 2021년 4월 베올리아(Veolia)와 수에즈(Suez) 간에 체결된 결합 계약과 2021년 10월 22일 구매 계약에 의해 문서화되었다.

새로운 수에즈는 프랑스의 수에즈의 물 및 재활용 및 회수 활동, 이탈리아, 중부 유럽, 아프리카(모로코 포함), 중앙아시아, 인도, 중국, 호주 등 세계 디지털 및 환경 활동을 포함하여 거의 70억 유로의 수익을 올릴 것으로 예상하고 있다.

 

다른 특정 시장에서 유럽연합 집행위원회의 요구사항을 충족하기 위해 그룹은 공업용수, 모바일 솔루션 및 특수 산업 폐기물 분야에서 몇 가지 추가 구제책을 승인했다.

수에즈 주당 19.85유로의 가격으로 공개 제안의 유일한 전제 조건이 충족됨에 따라 베올리아와 수에즈의 조합은 최종 단계에 접어들었으며, 프랑스 경쟁 당국 AMF(Autorite des marches financiers)가 오늘(2021년 12월 14일) 설정한 인수 입찰 마감일은 2022년 1월 7일이다.

베올리아의 회장 겸 CEO인 앙투안 프레로(Antoine Frerot)는 “우리 산업 프로젝트의 강점과 관련성과 글로벌 기후 및 환경 위기의 도전에 대처할 수 있는 능력을 확인시켜준 이번 결정에 대해 기쁘게 생각한다”라면서 “이 단계는 합병의 마지막 단계를 시작하며, 이 단계는 불과 몇 주밖에 남지 않았다. 나는 모든 이해 관계자를 위해 가능한 한 최상의 조건에서 진행되도록 최선을 다하고 있으며 이 과정에서 모든 사회적 약속이 존중되도록 할 것다”라고 말했다.

제안된 합병은 이미 주요 경쟁 당국으로부터 18건 중 유럽연합, 미국, 캐나다, 콜롬비아, 에콰도르, 모로코, 러시아, 사우디아라비아, 중국, 대만, 대한민국, 인도, 브라질, 터키, 아랍에미리트 등에서 15건은 승인을 받았으며 칠레, 영국 및 호주의 경쟁 당국에서 아직 심사가 진행 중이다.

The European Commission approves the acquisition of Suez by Veolia

The project to build the world champion of ecological transformation takes a decisive step closer to completion.

Veolia welcomes the European Commission's decision to approve the acquisition of Suez. This is a decisive step in the creation of a global champion of ecological transformation, as the green light from the European Commission is a key factor in the realization of Veolia's industrial project.

Veolia has worked closely with the European Commission to address all its competition concerns:

The commercial agreement reached between Veolia and the Consortium to create the new Suez has identified assets that remove most of the competition concerns identified by the European Commission. 

This commercial agreement signed with the Consortium of investors consisting of Meridiam, GIP and La Caisse des Depots/CNP Assurances, is documented by the combination agreement signed between Veolia and Suez in April 2021 and the purchase agreement of October 22, 2021. 

As a reminder, the new Suez  would have revenues of nearly €7 billion, including Suez's Water and Recycling & Recovery activities in France, international assets in Italy, Central Europe, Africa (including Morocco), Central Asia, India, China and Australia, as well as global digital and environmental activities.

 

In order to meet the requirements of the European Commission in certain other markets, the Group has also granted some additional remedies in the sectors of industrial water, mobile solutions and special industrial waste.

With the sole condition precedent of the tender offer at a price of €19.85 per Suez share (coupon attached)1 now fulfilled, the combination between Veolia and Suez is entering its final phase, with the closing date of the takeover bid set today by the French Competition Authority AMF (Autorite des marches financiers) on January 7, 2022.

The proposed merger has already received 15 out of 18 approvals from the main competition authorities2, with the examination still underway by the competition authorities in Chile, the United Kingdom and Australia.
