[영국] 브리티시 워터와 물 산업 포럼 합병, 물 협력 새로운 시대 도래

정부와 사회 그리고 물산업 분야는 전례 없는 도전에 직면하고 있다. 이에 따라 변화를 수용하고 혁신하며 협력해야할 필요성이 그 어느 때보다 중요하다. 영국에 영향력 있는 물 산업 분야의 두 조직의 합병은 그 길을 이끄는 것을 목표로 한다.

브리티시 워터(British Water ; BW)와 물 산업 포럼(Water Industry Forum ; WIF)은 지난 4월 1일 합병을 완료했다고 밝혔다.

크리스 러플린(Chris Loughlin) BW의 회장은 "우리는 힘을 합침으로써 모든 회원, 주요 이해 관계자, 파트너 및 부문 전체에 더 큰 가치를 제공할 수 있는 더욱 강력한 조직을 만들었다“며, "우리 각자의 강점이 합쳐져 엄청난 시너지 효과를 얻을 수 있다”고 전했다.

이번 합병은 제공되는 서비스의 범위를 확대하고, 멤버십 지원을 강화하며, 도전 주도적 사고 리더십을 위한 기회를 강화할 것이다. 이는 현재의 경제 환경에서 더욱 필수적인 요소인 국내외적으로 더 큰 권위와 더 강력한 목소리를 제공할 것이다.

물 산업 포럼 의장인 마크 플레처(Dr Mark Fletcher) 박사는 "우리는 영국과 국제 물시장을 모두 다루는 4개의 포럼과 함께 물 부문의 단일 초점을 제공할 수 있는 강력하고 존경 받으며 재정적으로 안정된 두 조직이다. 이번 합병으로 중복 작업을 없애고 멤버십을 넓히며 결합된 다양한 서비스에 접근할 수 있게 됨으로써 효율성을 높일 수 있을 것이다"고 말했다.

BW와 WIF는 2020년에 잠재적인 합병의 가능성을 모색하기 시작했고 자세한 논의와 실사를 거쳐 지난해에 각 기구가 각 회원에게 합병을 진행하도록 권고할 정도로 자원 공동화의 시기와 근거가 매우 설득력 있다는 것이 두 기구에 명백해졌다.

플레처 박사는 "이는 BW와 WIF의 고위 대표로 구성된 핵심 팀의 헌신을 통해 가능했으며, 두 조직의 매우 존경받는 비상임 이사인 토니 콘웨이(Tony Conway)의 현명하고 헌신적인 리더십 하에 이루어졌다"라고 덧붙였다.

제안된 운영 모델 및 거버넌스 프레임워크는 합병된 조직의 활동과 우선 순위를 지원하고 중요하게는 물 산업 포럼의 무결성과 독립성을 보존하기 위해 개발됐다. 이는 물 산업 포럼이 부문 전체에서 누리고 있는 신뢰와 존중을 유지할 수 있도록 한다.

WIF은 비영리 유한 회사로 남아 BW의 자회사로 운영될  것이다. 이사회는 독립성과 중립성을 보장하는 행동 강령에 구속되며, 이사회는 윤리 강령을 준수하고, 모든 사람의 진실성과 공정성을 지속적으로 평가해야 한다.

통합 구독 모델은 합병 후 전환 기간 동안 도입되며, 소수의 회원들에 대한 구독은 증가할 것이며, 장기간에 걸쳐 단계적으로 증가할 것이다.

이 두 조직의 합병은 물 부문 전체의 이동 방향과 일치한다. 예를 들어, Water UK의 토론 문서인 Developing a 2050 Vision for the Water Sector에서는 “부문, 정부 및 규제 기관이 현재 공동 작업 영역을 기반으로 하고 긍정적인 변화의 속도를 가속화하기 위해 보다 효과적으로 협력해야 할 필요가 있다. 현상 유지 및 점진적 접근 방식으로는 충분하지 않다”고 나와있다.

이러한 정서는 물 산업 포럼이 공동 주관하는 영국 물 부문 대표 조직 전반에 걸친 설문 조사에 의해 뒷받침되며, 이는 보다 긴밀한 작업과 협력 증대에 대한 압도적인 지지를 보여준다.

러플린은 “BW와 WIF는 회원과 해당 부문을 대신하여 자랑스러운 업적의 역사를 가지고 있다”라며, “우리는 각자의 강점을 결합함으로써 모든 회원, 주요 이해 관계자 및 파트너에게 부가가치를 제공할 새롭고 더욱 강력한 조직을 만들 수 있다는 것을 알고 있으며, 이를 통해 우리 앞에 직면한 고유한 도전과 기회에 가장 효과적이고 효율적으로 대응할 수 있다"고 전했다.

Merger Marks New Era In Water Collaboration

 

As the water sector, governments and wider society face unprecedented challenges, the need to embrace change, innovate and collaborate has never been more critical. The merger of two influential water sector organisations in the UK, aims to lead the way.

On 1 April 2022, British Water (BW) and the Water Industry Forum (WIF) announced that the merger of its two organisations was complete. 

“By joining forces, we’ve created an even stronger organisation that can deliver ever greater value for all our members, key stakeholders, partners, and the sector as a whole, said Chris Loughlin, chair of British Water. “There is tremendous synergy to be gained from bringing our respective strengths together.”

The merger will increase the range of services on offer, strengthen membership support, and enhance the opportunity for challenge-led thought leadership, which will provide greater authority and a stronger voice both nationally and internationally – elements that are only growing more essential in the current economic climate.

Dr Mark Fletcher, chair of Water Industry Forum said, “We are two strong, respected and financially stable organisations that, together, can provide a single point of focus in the water sector, with our four forums addressing both the UK and international water markets. The merger will provide efficiencies through eliminating duplication of effort, broadening our membership and opening access to our combined range of services.”

BW and WIF began exploring the possibility of a potential merger in 2020, and following detailed discussions and due diligence, it became clear to both boards that the timing and rationale for pooling resources was so compelling that in 2021 the organisations recommended to their respective members that they proceed with a merger.

“It has been made possible through the commitment of a key team of senior representatives from British Water and the Water Industry Forum, under the wise and dedicated leadership of Tony Conway, a highly respected non-executive director of both organisations,” added Fletcher.

A proposed operating model and governance framework have been developed to support the activities and priorities of the merged organisation, and importantly to preserve the Water Industry Forum’s integrity and independence - enabling it to maintain the trust and respect it enjoys throughout the sector.

The Water Industry Forum will remain as a not-for-profit limited company, operating as a subsidiary of British Water. Its management board will be bound by a code of conduct guaranteeing its independence and neutrality, and its directors will also be required to adhere to a code of ethics, with everyone’s integrity and impartiality assessed on an ongoing basis.

A harmonised subscription model will be introduced during a post-merger transition period. Subscriptions will increase for a small minority of members, with any increase phased in over an extended period.

The merger of these two organisations aligns with the direction of travel throughout the water sector. For example, Water UK’s discussion paper Developing a 2050 Vision for the Water Sector describes a need “for the sector, government and regulators to build on current areas of joint work and collaborate more effectively to accelerate the rate of positive change. The status quo and incremental approaches will not be enough.”

This sentiment is underpinned by a questionnaire across the UK water sector representative organisations co-ordinated by the Water Industry Forum, which demonstrated an overwhelming support for closer working and increased collaboration.

“BW and WIF have proud histories of achievements, for and on behalf of their members and the sector,” added Loughlin. “We know that by combining our respective strengths we can create a new and even stronger organisation which will deliver added value for all our members, key stakeholders and partners, enabling us to respond most effectively and efficiently to the unique challenges and opportunities ahead of us all.”
